These Terms of Service ("Terms") govern your access to and use of the website at vigilixcyberservices.com and the cybersecurity services provided by Vigilix Cyber Services FZ-LLC ("Vigilix", "we", "us", or "our"), a company incorporated in the Ajman Free Zone, United Arab Emirates. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
1. Definitions
- "Website" means the website located at vigilixcyberservices.com and all associated subdomains
- "Services" means the cybersecurity products, managed services, assessments, and professional services provided by Vigilix
- "Client" means any organisation or individual that has entered into a written agreement with Vigilix for the provision of Services
- "User" means any individual who accesses or uses the Website
- "Agreement" means any executed statement of work, master services agreement, or order form between Vigilix and a Client
2. Website Use
2.1 Permitted Use
You may access and use the Website for lawful purposes only. You agree to use the Website solely to learn about our services, contact us, or access resources we make publicly available.
2.2 Prohibited Conduct
You must not:
- Use the Website in any way that violates applicable laws or regulations

3. Services
3.1 Engagement
All cybersecurity services are provided under a separate written Agreement. These Terms apply alongside any such Agreement. In the event of conflict, the terms of the Agreement shall prevail with respect to the specific services engaged.
3.2 Scope of Services
The specific scope, deliverables, timelines, and pricing for Services are defined in the applicable Agreement or Statement of Work. Vigilix reserves the right to modify, update, or discontinue any service offering with reasonable notice.
3.3 Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information required for service delivery
- Ensuring Vigilix personnel have the necessary access and cooperation to perform services
- Promptly reviewing and acting on security findings, advisories, and escalations
- Maintaining appropriate internal controls and not relying solely on Vigilix's services as the sole layer of security
4. Intellectual Property
4.1 Vigilix IP
All content on the Website — including text, graphics, logos, images, software, and documentation — is the property of Vigilix or its licensors and is protected by applicable intellectual property laws. No content may be reproduced, distributed, or modified without our prior written consent.
4.2 Deliverables
Unless otherwise agreed in writing, reports, assessments, and other deliverables produced under a service engagement are licensed to the Client for internal use only. Clients may not redistribute or publish such materials without Vigilix's prior written consent.
4.3 Feedback
If you provide us with suggestions, ideas, or feedback regarding our services or website, you grant Vigilix a non-exclusive, royalty-free, perpetual licence to use such feedback for any purpose, including product improvement, without obligation or compensation to you.
5. Confidentiality
Confidentiality obligations between Vigilix and Clients are governed by the applicable Agreement, which typically includes mutual non-disclosure provisions. In the absence of a specific Agreement, any non-public technical information exchanged during a sales or assessment process is treated as confidential by both parties and shall not be disclosed to third parties without prior written consent.
6. Disclaimers
6.1 Website
The Website and its content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of viruses or other harmful components.
6.2 Cybersecurity Services
Cybersecurity services reduce risk but cannot guarantee the prevention of all security incidents. No security solution is infallible. Vigilix does not warrant that its services will detect or prevent all threats, vulnerabilities, or breaches. Clients acknowledge that cybersecurity is a shared responsibility.
6.3 Third-Party Content
The Website may contain links to or information about third-party products, services, or websites. These are provided for informational purposes only. Vigilix does not endorse or assume responsibility for third-party content, products, or services.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Vigilix and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Website or our services — even if advised of the possibility of such damages.
In no event shall Vigilix's total aggregate liability to any party exceed the greater of (a) the fees paid by that party to Vigilix in the three months preceding the claim, or (b) USD 500, where no fees have been paid.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, liability is limited to the minimum extent permitted by law.
8. Indemnification
You agree to indemnify, defend, and hold harmless Vigilix and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Website in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) any material misrepresentation made by you to Vigilix.
9. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws applicable in the Ajman Free Zone. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Ajman Free Zone, unless otherwise agreed in a specific Client Agreement.
For Clients located in the European Union or United Kingdom, nothing in these Terms limits any rights you may have under applicable consumer protection or data protection laws.
10. Modifications to These Terms
We reserve the right to update these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Website after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
11. Termination
We reserve the right to suspend or terminate your access to the Website at any time, without notice, for conduct that we determine violates these Terms or is otherwise harmful to Vigilix, other users, or third parties. Provisions that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, and indemnification — shall continue to apply.
